2. Use of Software
Breww grants You the right to access and use the Service via the Website with the particular user roles available to You according to Your subscription type. This right is non-exclusive, non-transferable, and limited by and subject to this Agreement. You acknowledge and agree that, subject to any applicable written agreement between the Subscriber and the Invited Users, or any other applicable laws:
- the Subscriber determines who is an Invited User and what level of user role access to the relevant organization and Service that Invited User has;
- the Subscriber is responsible for all Invited Users’ use of the Service;
- the Subscriber controls each Invited User’s level of access to the relevant organization and Service at all times and can revoke or change an Invited User’s access, or level of access, at any time and for any reason, in which case that person or entity will cease to be an Invited User or shall have that different level of access, as the case may be;
- if there is any dispute between a Subscriber and an Invited User regarding access to any organization or Service, the Subscriber shall decide what access or level of access to the relevant Data or Service that Invited User shall have, if any.
3. Your Obligations
An invoice for the Access Fee will be issued each month in accordance with the details set out in the Fee Schedule. Breww will continue invoicing You in accordance with the Fee Schedule until this Agreement is terminated in accordance with clause 8.
All Breww invoices will be sent to You, or to a Billing Contact whose details are provided by You, by email. Payment of all amounts specified in an invoice must be paid in accordance with the Fee Schedule. You are responsible for payment of all taxes and duties in addition to the Access Fee.
- Preferential pricing or discounts:
You may from time to time be offered preferential pricing or discounts for the Access Fees as a result of the number of organizations that You have added to the Service or that have been added with Your authority or as a result of Your use of the Service ('Organizations'). Eligibility for such preferential pricing or discounts is conditional upon Your acceptance of responsibility for payment of any Access Fees in relation to all of Your Organizations. Without prejudice to any other rights that Breww may have under these Terms or at law, Breww reserves the right to render invoices for the full (non-discounted) Access Fees due or suspend or terminate Your use of the Service in respect of any or all of Your Organizations in the event that any invoices for those Access Fees are not paid in full in accordance with the requirements set out in the Fee Schedule.
- General obligations:
You must only use the Service and Website for Your own lawful internal business purposes, in accordance with these Terms and any notice sent by Breww or condition posted on the Website. You may use the Service and Website on behalf of others or in order to provide services to others but if You do so you must ensure that You are authorized to do so and that all persons for whom or to whom services are provided comply with and accept all terms of this Agreement that apply to You.
Beer duty, excise duty, TTB and related schemes:
- "Duty return" includes all forms of excise duty submissions to governing bodies, authorities or similar organisations, including but not limited to "Beer duty", TTB & other excise duties.
- It is your responsibility, and your responsibility alone, to ensure that the information you submit to HMRC (or your country's equivalent) for your "Duty return" is correct.
- The same applies for non-UK excise duty return schemes, including but not limited to TTB reporting in the US.
- Where reasonable possible, Breww breaks down every entry in your return for you to view, allowing you the ability to omit incorrect entries or notice missing entries. If You cannot see or find a breakdown that you need to be comfortable in your understanding of what Breww is showing You, You must contact Us for clarification.
- By using information presented to You by Breww when preparing your "Duty return", You fully indemnify Breww Ltd from any liabilities as a result of any mistakes, errors or misunderstandings in the information, data, process or anything else related to submitting information to any applicable government bodies, authorities or similar organisations.
VAT and Sales Tax calculations
- In some countries, Breww will help you manage your VAT or sales tax rates to save you from having to manually enter your local rates and keep them up to date, but this should be considered nothing more than a "best guess". It is your responsibility and your responsibility alone to ensure that the correct tax rate is applied to all products, invoices, credit notes and anywhere else applicable. It is up to you to ensure the correct tax is charged to customers and paid to your local authorities.
- For the USA (and some other countries), it's worth remembering that sales taxes are extremely complicated, and ZIP Codes/Postcodes do not always align with municipal or governmental boundaries. We highly recommend that you perform full due diligence in determining the applicable sales tax rate for a location by contacting the applicable state or local governments.

Breww offers some addons which may increase your bill value. Addons are optional, and you will need to subscribe to them manually, at which point any costs will be clearly indicated. As with your main Breww subscription, these costs may need to be changed from time to time and doing so is at the sole discretion of Breww, however, you can choose to unsubscribe from the addon if you no longer feel that it is right for you.
Breww Trade Store
- The trade store is billed at 1% of the gross value of all orders placed via the trade store.
Here's how the trade store billing works:
- Each night we do a "trade store billing run". In this run, we will look at all trade store orders placed since the last run and add their value to your "daily trade store bill" for Breww. This is all orders apart from cancelled orders (and therefore includes draft, confirmed and invoiced).
- We will next look at any cancelled trade store orders that have previously been billed, and remove their value from the "daily trade store bill".
- Our billing partner (Stripe) can only accept positive additions to bills and cannot accept reductions. For this reason, if your "daily trade store bill" results in a positive number we'll add this to your Breww bill, but if this is negative we will be unable to reduce the bill at this point. Any negative adjustments will be held back until you next have a positive bill large enough to offset this outstanding reduction.
- As the "trade store billing run" is done daily overnight, it is the value of the order at that time that is used. The value used is the gross total value, as is normal for services similar to this (e.g. Stripe, Shopify, Amazon marketplace sellers, etc). Once a trade store order has been through its "trade store billing run", any changes to the value of the order are ignored. If you reduce the value of the order after the billing run, you won't get a refund for the reduction in value, but equally, if you increase the value, we will not bill you for the extra. We know that in some cases this will be in your favour and in some cases it will not be, but we feel on balance this will be fair. We hope you agree.
- If a trade store order is cancelled before its billing run (therefore typically during the day of the day it was placed), it will never be billed.
- If a trade store order is edited in value before its billing run (therefore typically during the day of the day it was placed), it will be billed at the value it was at the end of this day and any further changes will be ignored from a billing point of view.
- If the currency used on your Breww Trade Store differs from your account's billing currency, then the value of the order will be converted to your billing currency using a recent European Central Bank exchange rate.
- This addon attracts an additional fee per vehicle per month and has a 30 day free trial period. The fee will be clearly displayed to your prior to subscribing to this addon.
- After the free trial, this becomes a rolling month contract which you can end at any time by cancelling before you next billing date.
